TERMS OF SERVICE AND USER AGREEMENT

This User Agreement ("Agreement") constitutes a legally binding agreement between ARERI INC, a Florida Corporation ("Company", "Administration", "we", "us", or "our"), and any user ("User", "you", or "your") accessing or using the website school.areri.net, areri.net, and associated subdomains, platforms, or services (collectively, the "Platform").
By accessing, registering on, or using the Platform, you agree to be bound by this Agreement. If you do not agree to these terms, do not access or use the Platform.
1. Description of Services
1.1. ARERI INC provides interactive online educational tutoring, digital learning management tools, live video classes (via Zoom or integrated players), worksheets, graphic dictations, and educational content (the "Services"). 1.2. All Services are provided electronically. ARERI INC does not sell or ship physical goods via the Platform unless explicitly agreed under a separate order.
2. Account Registration and Parental Consent
2.1. Minors: The Platform offers educational content intended for children and primary school students. If you are under 18 years of age (or the age of legal majority in your jurisdiction), you may use the Platform only with the involvement and explicit consent of a parent or legal guardian.
2.2. Parents/Guardians: Parents or legal guardians registering an account for a minor accept full responsibility for the minor’s compliance with this Agreement and for all financial transactions conducted through the account.
2.3. Users are responsible for maintaining the confidentiality of their login credentials and are fully liable for all activities under their account. Account sharing with third parties is strictly prohibited.
3. Fees, Payments, and Taxes
3.1. Pricing: Prices for live lessons and digital courses are specified on the Platform or invoice. All payments are processed via third-party processors (e.g., Stripe) or direct bank/Zelle transfers.
3.2. Taxation: Educational online courses and live tutoring provided by ARERI INC are intangible educational services. No sales tax is added to live tutoring unless required by local laws of the buyer's jurisdiction.
3.3. Subscriptions: If you purchase a recurring subscription, your payment method will be billed automatically at the beginning of each billing cycle until canceled.
4. Refund Policy and Statutory Right of Withdrawal
4.1. Live Online Lessons:

Cancellations made at least 24 hours prior to a scheduled live lesson are eligible for rescheduling or full credit.

Cancellations made less than 24 hours in advance or missed lessons ("no-shows") are non-refundable.
4.2. Digital Content & Instant Access Courses:

EU/UK Consumers: Under EU/UK consumer protection laws, you generally have a 14-day statutory right of withdrawal. However, by purchasing immediate access to digital content or commencing streaming/downloading, you explicitly request immediate performance of the contract and acknowledge that you lose your 14-day right of withdrawal once access to the digital content is provided.

General Refund Rule: Refunds for instant digital downloads or completed courses are not provided once access has been granted, except as required by applicable law or at the sole discretion of the Administration.
5. Intellectual Property Rights
5.1. All content on the Platform—including but not limited to text, software, graphics, vector icons, SVG elements, interactive quizzes, video materials, character designs, and trademarks ("ARERI", "ARERI INC")—is the exclusive intellectual property of ARERI INC and protected by U.S. and international copyright laws.
5.2. Users are granted a limited, non-exclusive, non-transferable license to use Platform materials solely for personal, non-commercial educational purposes. You may not copy, record, reproduce, distribute, or create derivative works without prior written permission from ARERI INC.
6. Prohibited Activities
Users agree NOT to:

Use automated scripts, bots, or scrapers to collect data from the Platform;

Record, screen-capture, or distribute live Zoom tutoring sessions without express consent;

Post or transmit illegal, offensive, harmful, defamatory, or pornographic content;

Disrupt or compromise the security, infrastructure, or integrity of the Platform.
7. Disclaimers and Limitation of Liability
7.1. Educational Results: The Platform and Services are provided "AS IS". While ARERI INC strives for high-quality instruction, we do not guarantee specific academic results, test scores, or cognitive improvements.
7.2. Third-Party Services: We are not liable for technical interruptions caused by third-party infrastructure (e.g., Zoom, internet service providers, payment gateways).
7.3. Limitation of Liability: To the maximum extent permitted by law, ARERI INC shall not be liable for any indirect, incidental, or consequential damages. Our total liability shall not exceed the total amount paid by you to ARERI INC in the twelve (12) months preceding the claim.
8. Governing Law and Dispute Resolution
8.1. Applicable Law: This Agreement is governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.
8.2. Arbitration & Venue: Any dispute arising out of or relating to this Agreement shall be resolved through individual binding arbitration in Orange County/Broward County, Florida, or in the Small Claims Court of Florida.
8.3. Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

1.2. Все услуги оказываются исключительно в электронном/онлайн формате. Компания не осуществляет продажу и доставку материальных товаров, если иное прямо не указано в отдельном договоре.
2. Регистрация, безопасность и несовершеннолетние
2.1. Защита детей: Услуги Платформы предназначены в том числе для несовершеннолетних детей. Несовершеннолетние лица (до 18 лет) могут использовать Платформу только с прямого согласия и под контролем родителей или законных представителей.
2.2. Ответственность родителей: Родители/представители, создающие аккаунт для ребенка, несут полную ответственность за соблюдение ребенком данного Соглашения и за все финансовые операции на Платформе.
2.3. Передача логина и пароля третьим лицам строго запрещена.
3. Стоимость услуг, оплата и налоги
3.1. Стоимость онлайн-уроков и курсов указывается на Платформе или в выставляемом счете. Оплата производится через процессинговые системы (Stripe) или прямым банковским переводом (Zelle).
3.2. Онлайн-обучение и уроки в Zoom являются необлагаемыми образовательными услугами согласно правилам штата Флорида.
4. Правила отмены, возврата и отказа от цифрового контента

В соответствии с законодательством ЕС и Великобритании о правах потребителей (Right of Withdrawal), покупатель имеет право на отказ от онлайн-покупки в течение 14 дней. Однако при получении мгновенного доступа к цифровым материалам, скачивании или начале просмотра Пользователь дает явное согласие на немедленное исполнение договора и признает утрату права на 14-дневный возврат.
5. Интеллектуальная собственность
5.1. Все материалы Платформы (тексты, иллюстрации, векторные графики, интерактивные задания, товарные знаки «АРЕРИ» / «ARERI INC») являются интеллектуальной собственностью ARERI INC.
5.2. Пользователю предоставляется ограниченная персональная некоммерческая лицензия. Запрещается копировать, записывать трансляции Zoom, распространять или перепродавать контент Платформы.
6. Ограничение ответственности и применимое право
6.1. Применимое право: Соглашение регулируется и толкуется в соответствии с законами Штата Флорида, США.
6.2. Разрешение споров: Все споры подлежат разрешению в индивидуальном порядке в арбитраже или суде штата Флорида, США. Пользователь отказывается от права на участие в коллективных исках (Class Action Waiver).

2. Menores y Consentimiento Parental
2.1. Los menores de 18 años solo pueden utilizar la Plataforma con la supervisión y el consentimiento expreso de un padre o tutor legal.
2.2. Los padres o tutores asumen la responsabilidad total del cumplimiento de este Acuerdo y de todas las compras realizadas en la cuenta.
3. Pagos, Reembolsos y Derecho de Desistimiento
3.1. Clases en Vivo: Las cancelaciones deben realizarse con al menos 24 horas de anticipación para ser elegibles para reprogramación. Las cancelaciones con menos de 24 horas no son reembolsables.
3.2. Contenido Digital (UE/Reino Unido): Al acceder o descargar contenido digital de inmediato, el Usuario renuncia expresamente a su derecho de desistimiento de 14 días bajo la normativa de consumidores de la UE y Reino Unido.
4. Propiedad Intelectual y Ley Aplicable
4.1. Todo el contenido y las marcas registradas son propiedad exclusiva de ARERI INC.
4.2. Ley Aplicable: Este Acuerdo se rige por las leyes del Estado de Florida, EE. UU. Cualquier disputa se resolverá mediante arbitraje individual en Florida, renunciando a demandas colectivas (Class Action Waiver).
